These Terms of Service ("Terms") govern your access to and use of the website useembers.com and the Embers platform, including any software, features, browser-based tools, integrations, and APIs (collectively, the "Service"), operated by Lead Catalyst Tech LLP ("Company", "we", "us", or "our"), a limited liability partnership registered in Mumbai, India.

  • "Subscription" refers to a paid plan that grants access to premium features of the Service.

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Safeguard your account credentials and not share your password with any third party
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised use of your account

We are not liable for any loss or damage arising from your failure to safeguard your account credentials. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use of the Service

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is designed to help you identify and engage with warm leads based on publicly available intent signals on LinkedIn.

4.2 Acceptable Use

You agree not to:

  • Use the Service for any unlawful, abusive, or fraudulent purpose
  • Violate any third-party rights, including through spam, unauthorised scraping, or data harvesting
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Service or its infrastructure
  • Use the Service in violation of applicable data protection laws or marketing regulations
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute the Service without prior written consent

5. Third-Party Platforms

Embers is not affiliated, associated, authorized, endorsed by, or in any way officially connected with the LinkedIn Corporation, registered in the U.S. and other countries. LinkedIn is a trademark of the LinkedIn Corporation.

You are solely responsible for ensuring that your use of the Service complies with the terms and policies of any third-party platforms you interact with through Embers.

6. Use of AI and Lead Data

Embers uses artificial intelligence to process publicly available intent signals and engagement data to identify potential leads. The AI-generated insights and recommendations are provided for informational purposes and should be used at your discretion. We do not guarantee the accuracy, completeness, or suitability of any lead data or AI-generated output.

7. Subscriptions & Billing

7.1 Billing Cycle

Some features of the Service are available on a subscription basis. Subscriptions are billed in advance on a recurring basis ("Billing Cycle"), either monthly or annually, depending on the plan you select at the time of purchase.

7.2 Auto-Renewal

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it before the end of the current Billing Cycle. You may cancel your Subscription renewal through your online account settings or by contacting us at support@useembers.com.

7.3 Fee Changes

We may modify Subscription fees at any time. Any fee changes will be communicated at least 30 days in advance and will take effect at the end of the then-current Billing Cycle. Your continued use of the Service after the fee change constitutes your agreement to pay the modified amount.

7.4 Refunds

Subscription fees are generally non-refundable, except where required by applicable law. If you believe you are entitled to a refund, please contact us at support@useembers.com.

8. Free Trial

We may offer a free trial for a limited period. At the end of the free trial, your account may be automatically converted to a paid Subscription unless you cancel before the trial period ends. We reserve the right to modify or discontinue free trial offers at any time without prior notice.

9. Fair Use & Service Quality

We are committed to providing high-quality, reliable service for all users. We expect all users to use the Service responsibly. Excessive or abusive usage that impacts service quality for other users may result in temporary throttling, suspension, or termination of your account. We encourage you to select a plan that aligns with your professional needs and business size.

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Lead Catalyst Tech LLP. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any Content you submit through the Service. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, and display such Content solely for the purpose of providing and improving the Service.

11. Service Levels, Security & Data

The Service is provided on an "as is" and "as available" basis. While we strive for high uptime and reliability, we do not guarantee uninterrupted or error-free operation of the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately, and you will lose access to any stored content or data associated with your account.

You may terminate your account at any time by discontinuing use of the Service and contacting us at support@useembers.com.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Lead Catalyst Tech LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or in connection with your use of or inability to use the Service.

In no event shall our total liability exceed the amount paid by you to us during the twelve (12) months preceding the event giving rise to the claim.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that the results obtained from the Service will be accurate or reliable.

15. Indemnification

You agree to indemnify, defend, and hold harmless Lead Catalyst Tech LLP, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

We reserve the right to amend these Terms at any time. Updated Terms will be posted on this page with a revised effective date. It is your responsibility to review these Terms periodically. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

20. Waiver & Severability

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
